By engaging with Gamma Growth Partners LLC (“Gamma,” “we,” “our,” or “us”), including its subsidiaries and affiliated companies, you agree to the following Terms of Service. These Terms are designed to comply with applicable U.S. federal and state laws, as well as international data privacy regulations, and reflect best practices across digital marketing, SaaS infrastructure, and business enablement services.

Gamma Growth Partners is not, and does not operate as, a broker-dealer, investment adviser, or fundraising intermediary as defined by the U.S. Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), or any state securities regulator.

Scope of Services & Deliverables

Gamma Growth Partners provides strategic, creative, and technical support to businesses, funds, and founders seeking to scale their operations, marketing, and investor communication infrastructure. These services may include:

  • Marketing & Growth Strategy – Funnel design, messaging frameworks, and campaign architecture

  • Email & CRM Automation – Configuration and optimization of client-authorized outreach and CRM systems

  • Creative & Content Development – Copywriting, visual assets, and investor or customer-facing materials

  • Data Management & List Building – Centralization, enrichment, and segmentation of contact data for compliant outreach

  • Website, Funnel, and Landing Page Development – Conversion-optimized digital assets for marketing and lead generation

  • Analytics & Performance Reporting – Dashboards and KPIs for campaign optimization

All deliverables are produced in support of client-directed initiatives. Gamma Growth Partners acts solely as a vendor and technology partner, not as an intermediary in transactions.

Clarifying Gamma’s Role

  1. Marketing Infrastructure Only
    Gamma provides tools, frameworks, and consulting support to enhance your internal operations and outreach capabilities. We do not directly contact prospects, negotiate deals, or execute fundraising activities on your behalf.

  2. No Securities or Investment Activities
    Gamma does not:

  • Offer, sell, or promote any investment or security

  • Provide investment advice or due diligence services

  • Receive transaction-based compensation

  • Represent clients to investors or financial institutions

  1. Client Control & Accountability
    Clients are solely responsible for:

  • Submitting accurate and lawful information

  • Approving all messaging, assets, and materials prior to deployment

  • Ensuring all campaigns comply with applicable laws (CAN-SPAM, GDPR, CCPA, etc.)

  • Managing all inbound communications, disclosures, and compliance obligations

  1. No Representation or Endorsement
    Use of Gamma’s services does not imply endorsement of any client, product, or opportunity. Gamma does not vet or verify the accuracy of client materials.

Data Usage & Compliance

  • Data Ownership: Clients retain ownership of all first-party data provided to Gamma.

  • Public Data Only: Gamma may utilize publicly available or lawfully sourced data for enrichment and analysis.

  • Compliance: Clients are responsible for ensuring all data usage adheres to applicable laws (CAN-SPAM, CASL, GDPR, CCPA, etc.).

  • Accuracy: Gamma does not guarantee the accuracy, completeness, or currency of any enriched or third-party data.

Subscription & Billing Terms

  • Billing Cycle: Services are billed in advance on a recurring or project basis as outlined in your engagement agreement.

  • Automatic Renewal: Retainer or subscription services renew automatically unless canceled with at least five (5) business days’ written notice.

  • Payment: A valid payment method must remain on file. Failed payments may result in suspension of services.

  • Cancellations: All payments made are non-refundable unless otherwise stated in a signed contract.

Intellectual Property

  • All creative assets, templates, frameworks, and proprietary processes developed by Gamma Growth Partners remain the intellectual property of Gamma unless otherwise specified in writing.

  • Clients receive a limited, non-transferable license to use deliverables for their intended internal business purposes only.

  • Clients may not resell, distribute, or modify proprietary Gamma materials without express written consent.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive business information disclosed during the engagement. Gamma may reference anonymized performance results or case studies unless restricted by a mutual NDA.

Indemnification

Clients agree to indemnify, defend, and hold harmless Gamma Growth Partners, its affiliates, and employees against any claims, damages, or losses arising from:

  • Misuse of Gamma tools, deliverables, or strategies

  • Campaign content violating privacy or advertising laws

  • Inaccurate or misleading client statements

Limitation of Liability

To the fullest extent permitted by law:

  • Gamma disclaims liability for campaign performance, deliverability issues, reputational damage, or third-party integration failures.

  • Gamma’s total liability shall not exceed the total fees paid by the client in the 30 days preceding any claim.

Termination

Either party may terminate with written notice. Subscriptions not canceled prior to renewal will incur one additional billing cycle. Payments are non-refundable.

Governing Law

These Terms are governed by and construed under the laws of the State of Kansas, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Johnson County, Kansas.

Updates

Gamma Growth Partners reserves the right to modify these Terms of Service at any time. Updates will be posted publicly and are binding upon continued use of our services.
